The website is intended for business customers, sole traders and other professional buyers.
Quote before contract
An inquiry via the website is not an order. A contract is only formed upon written confirmation of the quote or order.
Delivery by agreement
EXW Rešetari, FCA, DAP or another Incoterm applies only if stated in the quote or order confirmation.
Clear payment terms
Payment terms depend on the history of cooperation, payment regularity, volume, creditworthiness and type of order.
1. Scope of application
These General Terms of Business govern the business relationship between the seller PROIZVODNJA DRVNE AMBALAŽE I DRVOTOKARIJA (PRODUCTION OF WOODEN PACKAGING AND WOOD TURNING), SLIŠURIĆ, VL. (OWNER) BRANKO SLIŠURIĆ, Kralja Tomislava 29, 35403 Rešetari, Croatia, Tax ID 72658873605, Company ID 90417569 (hereinafter: Seller) and customers who order products or services in the course of their commercial, craft or professional activity.
The website slisuric.hr is not a webshop with automatic contract formation. The website content, catalogue descriptions and contact form serve as an invitation to inquire. In the event of a discrepancy between these terms and an individual written quote, order confirmation or contract, the individual agreement takes precedence.
The buyer's general terms do not apply unless the Seller expressly accepts them in writing.
2. Inquiry, quote and contract formation
The buyer may send an inquiry via the form, email, phone or direct arrangement. To prepare a quote we need at least the product type, quantity, dimensions or specification, place of delivery, desired date and contact person.
The quote is valid for 14 days from issue, unless a different period is stated in the quote. An order is accepted when the Seller confirms the quote, purchase order, production schedule or delivery date in writing. If the confirmation deviates from the buyer's order, it is considered a new offer by the Seller.
The Seller may decline an inquiry or order if the buyer does not provide the required information, if there is an outstanding unpaid claim, if the requested goods cannot be produced within the requested time, or if performance would be contrary to regulations, standards or the safe use of the product.
3. Products, specifications and samples
Products include euro pallets, industrial pallets, custom pallets to drawings or specifications, wood elements, wooden packaging, timber, biomass, ISPM-15 heat treatment and other services from the Seller's offer. Technical product properties are defined by the quote, order confirmation, applicable standards and, for custom goods, the specification provided by the buyer.
Wood is a natural material. Differences in colour, grain structure, rings, minor surface marks, moisture within agreed limits and other natural characteristics are not considered defects if they do not affect the agreed function of the product.
For custom manufacture the buyer is responsible for the accuracy of drawings, dimensions, load capacities, intended use, storage conditions and information about the goods to be packaged or transported. Samples and photographs are binding only if this is explicitly stated in the written quote or contract.
4. Prices, VAT and costs
Prices are quoted in euros. VAT, transport, special packaging, loading, documentation, carrier waiting time, customs or other costs are included only if explicitly stated in the quote.
For deliveries within the EU the buyer must provide a valid VAT ID if an exemption or reverse charge applies. If the buyer provides incorrect or incomplete tax information, the buyer is responsible for the consequences, additional costs and corrections to documentation.
If after acceptance of the quote there is an extraordinary change in the price of raw materials, energy, transport or regulations that materially affects production or delivery costs, the parties will attempt to agree on a price or deadline adjustment.
5. Payment and credit terms
Payment terms depend on the history of cooperation, payment regularity, volume, creditworthiness and type of order.
For orders of custom industrial pallets a 50% advance payment is required, with remaining payment terms by agreement.
6. Delivery, collection and documentation
Delivery is carried out according to the Incoterm standard FCA (Free Carrier): The seller delivers the goods, cleared for export, to the first carrier nominated by the buyer. Unless otherwise stated, the point of departure is the Seller's facility in Rešetari. Delivery deadlines run from confirmation of all technical details and fulfilment of the conditions in the quote.
The buyer must ensure conditions for collection, unloading, vehicle access and a person authorised to sign documentation. If the buyer does not collect the goods within the agreed time, the Seller may charge the actual costs of storage, waiting, re-delivery or return of goods.
Depending on the type of goods and destination, the shipment is accompanied by a delivery note, invoice, ISPM-15 certificate or other documentation if agreed.
7. Goods inspection and complaints
The buyer is obliged to inspect the goods upon collection. In particular, the quantity, visible damage, markings, packaging condition and compliance with the accompanying documentation should be checked.
A complaint is not justified if the defect is the result of improper storage, moisture, overloading, modification of the product, inappropriate use or information provided by the buyer. The Seller's liability is limited to the value of the goods to which the justified complaint relates, unless mandatory regulations require otherwise.
- 1.Quantity discrepancies and visible damage must be noted immediately in the transport document or delivery note.
- 2.Complaints are to be submitted in writing, with the document number, photographs and a brief description of the discrepancy.
- 3.For hidden defects the deadline is 7 days from receipt, unless a different deadline has been agreed in an individual contract.
- 4.If the complaint is justified, we agree on replacement, repair, price reduction or a credit note.
8. Custom pallets, ISPM-15 and used pallets
For custom pallets, crates and elements, production begins after confirmation of the specifications and agreed payment(s). Cancellation or modification of such an order is only possible with the Seller's written consent and settlement of costs for materials already purchased, labour or reserved capacity.
ISPM-15 heat treatment is carried out in accordance with current regulations and authorisation number HT-0800. The buyer must timely specify the destination, recipient requirements, documentation needs and all special phytosanitary conditions applicable to the shipment.
For the buyback of euro pallets and all types of industrial pallets, the final classification and price depend on the actual condition of the goods after inspection. The Seller may refuse pallets that are contaminated, wet, mouldy, non-standard, structurally defective or do not match the previously agreed grade.
9. Force majeure and limitation of liability
The Seller is not liable for delay or inability to perform caused by circumstances beyond reasonable control, including disruptions in raw material supply, machinery breakdowns, power outages, traffic disruptions, transport bans, fire, flood, strike, epidemic, war, government decisions or other extraordinary events.
The Seller is not liable for indirect damage, lost profit, production downtime or third-party claims, unless such liability is mandatory under applicable law or the damage was caused by intent or gross negligence.
10. Website, privacy and governing law
The website content, photographs, texts, marks and visual elements are used for informational and promotional purposes. Their downloading, copying or commercial use without permission is not permitted, except to the extent permitted by law.
The processing of personal data is described in the Privacy Policy. These terms and the business relationship are governed by Croatian law. The parties will first attempt to resolve disputes by agreement, and if that is not possible, the appropriate court in the Republic of Croatia according to the Seller's registered office has jurisdiction, unless mandatory regulations provide otherwise.
